What the? I tried to look up X-Men/Spider-Man: Time's Arrow: Book Three, this Spider-Girl's first appearance according to that link, but it's not on the Marvel Wikia. It's important to answer the question, as that's supposed to be from 1998, the same year as Mayday's series started. The What If issue Mayday debuted in is cover dated Feb 1998, so unless Time's Arrow was January, Mayday is the original.

Time's Arrow is a prose novel, and to knowledge, other than Mayhem in Manhattan (1978) which was referenced on Amazing Spider-Man 186, prose novels very, very seldom count in comics continuity.

For what is worth, from what I can see, this was co-written by Tom DeFalco. The guy really likes to keep all his stuff in continuity, so however has read this and DeFalco stuff, maybe there's some easter egg in one of his comics.
